Common Challenges

Our Approach

1. Pre-Deal Tech Assessment

Read the Salesforce and CRM estate as a liability list: overlapping orgs, license waste, custom code nobody owns, and agents already live in Slack or a vendor runtime. Deloitte's AI workforce studies found roughly two-thirds of enterprises piloting autonomous agents have no policy for accumulated agent memory at offboarding, vendor termination, or M&A. That is now a diligence item.

2. Integration Planning

One operating model after close: one registry, one permission story, one memory store you can export. Operational memory is the six months an agent spent learning your exceptions. If it lives in the seller's vendor runtime, you bought a demo and a retraining bill.

3. Change Management

Name who reviews and who owns after day one. I have sat on three completed technology integrations. The pattern that fails is two agent fleets, two Slack workspaces, and nobody assigned to the combined audit trail.

What does digital labor change in technology diligence?

The last decade of privacy regulation asked what systems remember about people. Diligence now has to ask what agents remember about how the company runs: rejected options, customer quirks, the 2am payroll exception. That memory is an asset if you can inventory it, export it, and assign an owner. It is a lock-in if it sits in a runtime you do not control.

Bain's next-operating-model work lists memory as one of the four layers that separate a pilot from production AI. McKinsey's State of AI still shows the gap: most enterprises use generative AI in at least one function, and almost none call the program mature. In a deal, that gap shows up as two half-built fleets and no policy for whose memory survives close.

I treat agent inventory, identity, and memory portability as first-class work alongside the Salesforce and integration plan. If you cannot answer where long-term memory is stored and who has root, you do not have a post-merger operating model yet.
